Terms of Service
These Terms of Service (“Terms”) are the agreement between you and Pace Digital Works (“Pace Digital Works,” “we,” “us,” or “our”), a one-person studio operated by Charlene Pace, a sole proprietor based in Sta. Rosa City, Laguna, Philippines. They cover our website at pacedigitalworks.com and the design, build, visibility, automation and software work we do for clients (together, the “Services”).
By using this website, or by accepting a written quote from us, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use this website or hire us.
1Who we are
Pace Digital Works is a one-person studio. All work is carried out by Charlene “Chad” Pace, sole proprietor, based in the Philippines and working with clients anywhere. There is no team, and there is no office you need to visit. Where these Terms say “we,” that means the same one person.
2What we do
Depending on what your written quote says, the Services may include any of the following:
- Designing and building a website;
- Setting a website up so search engines such as Google can understand and list it;
- Adding enquiry forms, booking forms and click-to-chat buttons;
- Automating repeating tasks, such as reply emails, reminders and updating a spreadsheet;
- Building custom business software, or software sold to other businesses on a monthly plan; and
- Adding practical artificial intelligence features, such as drafted replies or sorted documents.
Your written quote is the exact list. If something is not written in the quote, it is not included in the price, and it can be added later as extra work at an agreed extra cost.
3Quotes, prices & payment
- Written quote first. Before you pay anything, we send you a written quote that says what is included, what it costs, and when payment is due. You accept it in writing — an email or a chat message is enough.
- Currency. Prices are in Philippine pesos (PHP, ₱) unless the quote says a different currency. Any prices shown on this website, including the “from ₱1,000” starting figure, are a guide only. They are not an offer, and the real price is the one in your quote.
- Deposit. Unless your quote says otherwise, work starts once you have paid the deposit stated in the quote. We are not obliged to begin before then.
- Final payment. The balance is due when the work is finished and shown to you for approval, and before the website or software is published to your own address, unless your quote sets out a different schedule.
- Late payment. If an invoice is more than fourteen (14) days overdue, we may pause the work and hold off publishing until it is paid.
- Taxes and fees. Prices do not include any tax you are required to pay in your own country, or bank and payment-provider transfer fees. Those are yours to cover.
- Outside costs are separate. Domain names, paid hosting, paid plugins, stock photography licences, email services and advertising budgets are paid by you, either directly to that provider or billed on to you at cost. They are not part of our fee unless the quote says so.
4What you need to give us
A project only moves as fast as the material it is built from. You agree to give us, in a usable form and within a reasonable time:
- Your text, or the facts we need to write it;
- Your logo and photographs, or approval to use stock photography instead;
- Correct business details — name, address, opening hours, contact details and prices;
- Access to any account we need, such as your domain name or your existing website; and
- Answers and approvals when we ask for them.
We build from what you send us. We are not responsible for a mistake in your own information — a wrong phone number, an out-of-date price, or a typo in text you supplied and approved.
5Approvals & revisions
- You see a working version early and tell us what to change. Nothing goes live until you say you are happy with it.
- Your quote states how many rounds of changes are included. A “round” means one collected list of changes, not a series of separate messages over several days.
- Changes after that, and any change to what was agreed — new pages, a different design direction, extra features — are extra work. We tell you the cost before we do it, and we do not start until you agree.
- If you do not respond to a request for approval within fourteen (14) days, we may treat that stage as approved and move on, or pause the project as described in section 6.
6Timing & delays
Any date we give you is our honest estimate, not a promise, and it assumes your material and approvals arrive when we ask for them. We are not responsible for a delay caused by late material, slow approvals, a third-party service being down, or anything else outside our reasonable control.
If a project goes quiet on your side for more than thirty (30) days, we may treat it as paused. Restarting it may mean waiting for a free slot, and any deposit already paid stays applied to the project rather than being refunded.
7Domains, hosting & outside accounts
- Your accounts stay yours. Wherever it is practical, your domain name, hosting and other accounts are registered in your own name, with you as the owner. We may set them up for you and hold access to do the work.
- Third parties are not us. Services such as Cloudflare, Google, Facebook, Supabase, form providers and email providers have their own terms, their own prices and their own outages. We are not responsible for what they do, for their charges, or for a service they change or shut down.
- Renewals. Keeping a domain name or hosting plan paid and current is your responsibility unless your quote puts it on us. A website goes offline quickly when a domain expires.
8Who owns the finished work
- Your content stays yours. Your logo, text, photographs, business data and customer information belong to you at all times. We never claim them.
- The finished work becomes yours once it is paid for in full. On final payment, we transfer to you the ownership of the design and the page code we produced specifically for your project.
- Our own tools stay ours. The building blocks we reuse across projects — our style system, component patterns, scripts, templates and internal know-how — remain ours. You get a permanent, worldwide right to use them as part of your finished website or software, but not to resell them on their own.
- Before full payment the work remains our property, and you may not publish or use it.
- Third-party material such as fonts, stock photographs and outside software stays under its own licence, not ours to give away.
9Your content & your promises
By sending us material to use, you confirm that:
- You own it, or you have permission to use it — this includes photographs, logos, music, text and customer reviews;
- It is truthful and not misleading, and any claim, price or qualification you state can be backed up;
- It does not break any law, and does not infringe anyone else's rights; and
- If it contains personal information about other people, you are entitled to hold it and to have it published.
We may refuse to build or publish anything we reasonably believe is unlawful, deceptive, hateful, or damaging to our own reputation.
10Sample websites on this site
The example websites shown on this site are marketing samples we built ourselves. The businesses in them are fictional, the names are invented, the photographs are stock photography, and the prices, reviews and opening hours are made up to show a layout. They are not real businesses, and their forms do not send anything to anyone. Nothing in a sample is an offer, a real price, or a real review.
11Our own software products
We also build and sell our own software, such as Pace Lodgix (a property management system) and My Workspace. Those products are sold on a monthly or yearly plan and have their own separate terms and privacy policy, which apply instead of these Terms when you sign up for them. 12Aftercare & support
- Your quote states what support is included after the website goes live, and for how long.
- Within that period we fix, free of charge, anything that is broken because of how we built it — a form that does not send, a page that does not display, a link that does not work.
- New content, new pages, new features, redesigns, and problems caused by someone else editing the site are not covered, and are quoted as new work.
- Support is by email at [email protected], WhatsApp or Facebook Messenger, on business days (Monday to Friday, Philippine Standard Time, excluding Philippine public holidays). We aim to reply within one (1) business day, but we do not guarantee a fixed response time.
13Cancelling & refunds
- You may cancel at any time by telling us in writing.
- Deposits are non-refundable once work has begun, because the time was reserved for you and turned away from someone else.
- If you cancel part-way through, you pay for the work already done up to the day you cancel, and anything already paid above that amount is returned to you.
- Money already spent on your behalf — a domain name, a licence, a paid plan — cannot be returned.
- We may cancel if you do not pay, if you do not supply what we need for more than thirty (30) days, or if you ask us to do something unlawful or something we are not willing to put our name to. If we cancel for a reason that is not your fault, we refund anything you have paid for work not yet done.
- Nothing here removes a refund right the law gives you.
14Confidentiality
We keep your business information private and use it only to do the work you hired us for. This does not apply to information that is already public, that you tell us to publish, or that we are required by law to disclose. We expect the same in return for anything we share with you about how we build.
15Showing your project in our portfolio
Unless you ask us in writing not to, we may show your finished website in our portfolio, on this site, and in social media posts — including your business name, logo, screenshots and a link. We will never publish your private business information, your customer data, your prices where they are not already public, or anything you have told us is confidential. Tell us at any time and we will take it down.
16No guarantee of results
We set your website up properly so search engines can understand it, and we build the forms that let people contact you. We cannot promise a position in Google, a level of traffic, a number of enquiries, or a level of sales. Those depend on your market, your competitors, your prices, your own follow-up, and on search engines whose rules change and are not ours to control.
17Disclaimer of warranties
To the fullest extent the law allows, this website and everything on it is provided “as is” and “as available,” without warranties of any kind, whether stated or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that this website will be uninterrupted, error-free or secure, or that the information on it is complete or current. Guides and articles we publish are general information, not professional, legal, tax or financial advice for your situation.
18Limit of our responsibility
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost data, lost bookings, lost enquiries or damage to reputation, arising out of the Services or your use of this website.
- Our total responsibility for any claim connected to a project will not be more than the total fees you actually paid us for that project, or the amount the law requires, whichever is greater.
Some countries do not allow certain limits, so parts of this section may not apply to you. Nothing here limits liability for fraud, or for anything that cannot be limited by law.
19Indemnity
You agree to cover us against any claim, loss or reasonable legal cost that comes from the material you gave us, from your use of the finished work, from your breach of these Terms, or from your breach of any law or of another person's rights — including the rights of your own customers.
20Acceptable use of this website
When using pacedigitalworks.com, you agree not to:
- Copy the design, code, text or photographs for use on another website;
- Present any sample website on this site as a real business, or as your own work;
- Try to break into, overload, scrape at scale, or interfere with this website; or
- Use our name, logo or branding without our written permission.
The design, text, photography, code and the “Pace Digital Works” name and marks on this website are owned by us or our licensors and are protected by law.
21Changes to these Terms
We may update these Terms from time to time. When we do, we change the “Last updated” date at the top of this page. The version in force for your project is the one in place on the day you accepted your quote — a later change does not alter an agreement already made. For this website, continuing to use it after a change means you accept the new version.
22Governing law & disputes
These Terms are governed by the laws of the Republic of the Philippines. If something goes wrong, please talk to us first — most things are settled with one honest conversation. If that does not work, you agree that the courts of Sta. Rosa City, Laguna, Philippines, have exclusive jurisdiction, without affecting any right you have to complain to the National Privacy Commission or another competent authority.
23General
- The whole agreement. These Terms, your accepted written quote, and our Privacy Policy are the whole agreement between us. If your quote and these Terms disagree on a point, the quote wins for that project.
- Independent contractor. We work as an independent studio, not as your employee, partner or agent.
- If one part fails. If any part of these Terms is found unenforceable, the rest stays in force.
- No waiver. Not enforcing a term once does not mean we give it up.
- Transfer. You may not transfer this agreement without our written consent. We may transfer it if the business is sold or restructured.
- Notices. Written notice may be given by email to the address each side last used.
